MobileMoney Fintech LTD has announced that it will hold an Extraordinary General Meeting (EGM) on Monday, December 1, 2025, beginning at 11:00 AM GMT.


The meeting will take place in a hybrid format, allowing participants to join in-person at the University of Professional Studies, Accra (UPSA) Auditorium, or virtually via live stream on the companyβs designated platform.

The company has outlined two critical resolutions to be considered at the EGM:

- 1. Ordinary Resolution β Approval of the waiver of the fairness report as required under section 247(2) of the Companies Act, 2019 (Act 992).
- 2. Special Resolution β Approval of the proposed Merger in line with section 243(5) of the Companies Act, 2019 (Act 992).
MobileMoney Fintech LTD confirmed that Shareholders and Qualifying Beneficiaries, as identified in the official Circular, may participate through any of the provided channels.


Access to the virtual platform will be free for all participants connected via MTNβs network, with MTN pledging to reimburse users who inadvertently incur data charges.
Additionally, individuals without smartphones may join the meeting through the companyβs dedicated teleconference line by dialing +233 244 300 025, entering access code 8000, and using conference PIN 056789.
To facilitate seamless participation, unique token numbers have been distributed to eligible attendees via email and SMS. On-site registration for the in-person session at UPSA will commence at 9:00 AM GMT.
The company reminded Shareholders and Qualifying Beneficiaries of their right to vote, either during the meeting or by appointing a proxy.
Proxy Forms can be downloaded from the EGM website and submitted electronically to info@csd.com.gh or physically deposited at the CSD office. All proxy submissions must be received at least 24 hours before voting begins. For joint holders, each holder must sign the form.
Electronic voting will be available throughout the EGM via the online platform or through USSD code 8990#. Participants who have not submitted proxy forms may use their unique token numbers to cast their vote.
The company has released a comprehensive Circular detailing the proposed merger, including rationale, terms and conditions, and guidance for Dissenting Beneficiaries wishing to exercise Appraisal Rights. The document can be accessed on the EGM website.
